Part A: Artificial Intelligence (AI) Addendum
1. AI Models & Data Training: Lucrative integrates with third-party Large Language Models (LLMs) such as OpenAI and Anthropic. Lucrative explicitly and contractually opts-out of allowing these third-party providers to use your Customer Data to train, fine-tune, or improve their foundational baseline models.
2. Internal Algorithmic Improvement: You grant Lucrative the right to process Customer Data to train our internal, proprietary algorithms (e.g., the Lucrative Sales DNA Match Engine). Strict Condition: Before any data is utilized for internal model training, Lucrative employs a redaction layer that strips and permanently anonymizes all Personally Identifiable Information (PII).
3. Assumption of Risk for AI Output ("Hallucinations"): AI systems are probabilistic and can generate inaccurate, offensive, or hallucinated outputs. You acknowledge that Customer owns all outputs generated on their behalf. However, YOU AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY REVIEWING, VERIFYING, AND APPROVING ALL AI-GENERATED CONTENT (INCLUDING EMAILS, QUOTES, AND SUMMARIES) PRIOR TO TRANSMISSION OR USE. Lucrative assumes zero liability for business losses resulting from unchecked AI outputs.
Part B: Telephony & Communications Compliance
1. TCPA & Regulatory Liability: Whether you utilize your own Twilio/Plivo API keys (BYOK) or Lucrative's internal telephony minutes, you are the sole "initiator" of all calls and SMS messages. You agree to strictly comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and the National Do Not Call (DNC) Registry. You shall not utilize auto-dialers or send SMS marketing without obtaining prior express written consent from the recipient.
2. 10DLC Registration: For SMS messaging, you acknowledge that US cellular carriers require A2P 10DLC registration. You are responsible for accurately registering your brand and campaigns. Unregistered SMS traffic may be blocked by carriers or subject to carrier fines, which will be passed directly to you.
3. Call Recording & Wiretapping Laws: The Lucrative platform features call recording and AI transcription. Laws regarding call recording vary by state and country (e.g., One-Party vs. Two-Party consent). You are strictly liable for complying with all applicable wiretapping and privacy laws. You must ensure you have the legally required consent from all participants before recording a call or utilizing real-time transcription.
